Preamble

The Lycaon Data platform and its analysis reports are published by VISUS TECHNOLOGY, a French Société par Actions Simplifiée with a share capital of €3,790.00, registered with the Marseille Trade and Companies Register under number 913 932 653, with registered office at 132 boulevard Michelet, 13008 Marseille, France (hereafter “LYCAON DATA”).

Payments are processed by an authorised reseller acting as Merchant of Record. That reseller is the seller of record for the transaction, issues the corresponding invoice and appears on the Customer’s bank statement. Its identity is shown on the checkout page and on the purchase confirmation email.

These rules set out how subscriptions are billed, renewed, cancelled and refunded. They supplement our Terms and Conditions. Where a specific agreement has been signed between the Customer and LYCAON DATA, in particular for an Enterprise plan, that agreement prevails over these rules.

Section 1: Who may subscribe

Both platform subscriptions and orders for analysis reports are open to businesses acting in the course of their activity only, and not to consumers. The Customer warrants that it contracts for business purposes and provides its company name and business or tax identifier when ordering.

No free trial of the platform is offered. A demonstration is available without signing up, and a guided session can be arranged for the Enterprise plan.

Section 2: Plans, prices and billing

Monthly subscriptions are taken out for a one-month term, invoiced and paid in advance at sign-up and then on each monthly anniversary date.

Annual subscriptions are taken out for a firm twelve-month term, invoiced and paid in full in advance at sign-up. They carry a preferential rate compared with twelve monthly payments. Choosing an annual subscription is a financial commitment for the whole annual term, including where the price is displayed as a monthly amount billed annually.

The initial sign-up date determines the renewal date. A monthly subscription started on 10 March renews on the 10th of each month, and an annual subscription started on 10 March renews on 10 March of the following year. Where the matching date does not exist in a given month, billing takes place on the last day of that month.

The prices in force are those shown on the pricing page, in the currency of the relevant market. Applicable taxes are added or included in accordance with the regulations, and the total amount due is displayed before payment is confirmed. Invoices are made available to the Customer in electronic format by the reseller referred to in the preamble.

Section 3: Automatic renewal

Unless cancelled by the Customer, subscriptions renew automatically at the end of each term, for a further one-month or twelve-month period depending on the frequency chosen.

For annual subscriptions, a reminder is sent by email at least 30 days before the renewal date, stating the next renewal date and the amount that will be charged based on the applicable rate.

Failure to receive that email for reasons outside LYCAON DATA’s control does not affect the renewal where the Customer has not cancelled the subscription.

Section 4: Cancellation by the Customer

Customers may cancel their subscription at any time from their account area or by any other means made available by LYCAON DATA.

Cancellation does not take effect immediately: it prevents the next renewal. The Customer keeps access to the Service until the end of the period already paid for, monthly or annual, and no further instalment is charged. No cancellation fee applies.

The period already started and paid for is not refunded, and no pro-rata refund is made for the remaining months. By way of example, a Customer who has paid for an annual subscription running from 1 January to 31 December and cancels on 15 May keeps access until 31 December, with no refund for June to December.

Confirmation that the cancellation has been recorded, stating the date access ends, is sent to the Customer.

Section 5: No-refund principle

Subscriptions and billing periods already paid for are non-refundable.

In particular, no refund or credit is given for voluntary cancellation before the end of a term, non-use or under-use of the Service, unused user accounts that have been purchased, removal of a user during a period, a decision to stop using the Service, a move to a lower plan requested during a period, or a failure to cancel before a renewal that has duly taken place.

No pro-rata refund or credit is granted for a period already committed to, subject to the situations set out in section 6 and the rights set out in section 21.

Section 6: Refund situations

A refund is issued where there has been a billing error attributable to LYCAON DATA or its reseller, in particular a duplicate charge or an incorrect amount.

A refund is also issued where a charge has been taken after a cancellation validly recorded before the relevant renewal date, and where a transaction was not authorised by the payment method holder.

Where LYCAON DATA terminates the Service or the subscription early for a reason not attributable to the Customer, and the Customer has paid in advance for a period that can no longer be provided, the corresponding portion is refunded pro rata. This does not apply where the termination or suspension follows a breach by the Customer, in particular non-payment.

Outside these situations, any refund, credit or subscription extension granted by LYCAON DATA is an exceptional commercial gesture. It creates no acquired right, does not change these rules and is not a waiver of their future application.

Section 7: Plan changes

Moving to a higher plan, or increasing a paid element of the subscription, takes effect immediately. The Customer immediately benefits from the features and limits of the new plan. The price difference is charged pro rata for the time remaining until the next renewal date, monthly or annual. From that date, the full rate of the new plan applies.

Moving to a lower plan takes effect at the next renewal date. The Customer keeps the features of the current plan until then, no refund or credit is given for the current period, and the new rate applies from the following renewal.

Before confirming, the Customer is shown the pro-rata amount that will be charged for a move to a higher plan, and the effective date of a move to a lower plan.

Section 8: Switching billing frequency

Customers may switch from monthly to annual billing. This change may take effect immediately: the unused fraction of the last monthly payment is then applied as a credit against the new annual subscription, so that the same period is not charged twice. A new annual term starts on the date of the change and creates a new billing anniversary date.

A Customer committed to an annual term may not convert the subscription to monthly billing with immediate effect in order to end that commitment early. The request is recorded and takes effect at the end of the current annual term, with no refund for the remaining months. At that point the annual subscription is not renewed and monthly billing starts at the rate then applicable.

Section 9: Users and access

A user is an individual identified by a unique email address with their own access to the Service. Access is strictly personal and may not be shared between several people. The number of users included and the maximum number of users depend on the plan taken out, as set out on the pricing page.

Where the plan allows, the Customer may add users during a period. The addition takes effect immediately and is charged pro rata for the time remaining until the next renewal date. From that date, the additional user is billed for a full period.

The Customer may immediately remove a user’s access to the Service. That technical removal does not reduce billing straight away: the reduction in the number of paid accesses takes effect at the next renewal date, monthly or annual. No refund or credit is given for an access already billed for the current period.

Subject to the features available in the platform, the Customer may reassign a freed access to another member of their organisation.

Section 10: Options, add-ons and quotas

Features, credits, data volumes, exports, reports or options sold in addition to the main subscription may be billed separately.

Where those items are consumable, they are neither refundable nor convertible into cash once purchased.

Credits or quotas included in a subscription are subject to the terms of the relevant plan. Unless stated otherwise at purchase, quotas not used within a period do not carry over to the next one.

Section 11: Price changes

LYCAON DATA may change its subscription prices. A price change never applies retroactively to a period already paid for.

For existing Customers, the new price applies from the next renewal. Customers are informed of any increase in advance and, for annual subscriptions, at least 30 days before the renewal concerned.

A Customer who does not wish to accept the new price may cancel before renewal. Cancellation then takes effect at the end of the period already paid for.

Section 12: Payment method and failed payments

The Customer must provide a valid payment method and keep it up to date. The Customer authorises the reseller referred to in the preamble to charge that method at sign-up, at each renewal, on a move to a higher plan, when users are added, and for any other additional order expressly placed.

If a payment fails on its due date, further attempts may be made and the Customer is notified that the situation needs to be resolved. The Customer has 7 calendar days during which access to the Service is maintained and the payment method must be updated or the amounts due settled.

If the situation is not resolved within that period, LYCAON DATA may suspend access to the Service in whole or in part, continue to recover the amounts due and, if non-payment persists, terminate the subscription under the Terms and Conditions.

Suspension for non-payment does not suspend the current contractual period, does not postpone the renewal date and gives no right to a refund or credit. The Service is restored once the amounts due have actually been settled.

Section 13: Chargebacks

A Customer disputing a charge is asked to contact LYCAON DATA or the reseller first, so that the situation can be reviewed and, where appropriate, resolved without a banking procedure.

Raising a chargeback over amounts contractually due may lead to immediate suspension of access to the Service until the dispute is resolved, without that suspension giving rise to any refund or extension of the subscription.

Section 14: Late payment

Any amount unpaid on its due date gives rise to the late payment interest and the fixed recovery indemnity provided for in the Terms and Conditions and by the statutory provisions applicable between businesses.

Those charges are due without prejudice to LYCAON DATA’s right to suspend the Service or to take any step necessary to recover the debt.

Section 15: Termination for Customer breach

LYCAON DATA may suspend or terminate the subscription in the event of a serious or repeated breach by the Customer of its contractual obligations, in particular non-payment, fraudulent or abusive use of the Service, unauthorised sharing of user access, mass or automated extraction of data, use contrary to the restrictions set out in the contract, any attack on the security or integrity of the platform, or a substantial breach of the Terms and Conditions.

Except where the seriousness of the breach justifies immediate action, suspension or termination is preceded by a formal notice that has remained without effect within the period set out in the Terms and Conditions.

Where termination follows a breach attributable to the Customer, no refund of the period already paid for is due, subject to any mandatory provisions that apply.

Section 16: Availability and interruptions

A temporary interruption of the Service caused by maintenance, an update, a security operation or a technical incident does not give rise to a refund.

Data updates, model recalibration and new analysis modules are included in the subscription at no extra cost. Changes to coverage or to module content are not grounds for refunding a current period, unless they lastingly deprive the Customer of the use of the Service subscribed to.

Exceptional and prolonged unavailability attributable to LYCAON DATA may give rise to a credit, a refund or another form of compensation, on the terms agreed contractually.

Section 17: Enterprise agreements

Enterprise plans are quoted individually and may be governed by a specific agreement providing for a service level commitment, specific billing arrangements including invoicing, and its own termination and compensation rules.

In the event of any inconsistency, that specific agreement prevails over these rules for the Customer concerned.

Section 18: Analysis reports and bespoke work

Analysis reports bought individually and bespoke work are treated separately from subscriptions. Like subscriptions, they are available only to businesses acting in the course of their activity.

Standardised reports delivered instantly are deemed performed as soon as they are made available and are not refundable from that point.

Reports with a production lead time and bespoke work may be cancelled and refunded in full as long as analysis work has not started. Once the report has been delivered, as a file or made available online, the service is deemed performed and is no longer refundable.

In the event of a manifest error, missing data or non-conformity with the agreed scope, the report is corrected and redelivered at no cost. Demonstration reports made available free of charge give rise to no service obligation and no refund.

Section 19: End of subscription and data

On the effective date of cancellation, access to the Service ends for the Customer and its users.

Reports and exports already produced by the Customer remain in the Customer’s possession and may continue to be used under the Terms and Conditions.

It is for the Customer to carry out its exports before access ends. Retention and deletion of the data held in its workspace after that date are governed by the Terms and Conditions and the privacy policy. A request to export or retrieve data after the end of the subscription gives no right to extended access or to a refund.

Section 20: How to request a refund

Requests may be sent either to the reseller handling the transaction, whose details and procedure are given on the purchase confirmation email, or directly to LYCAON DATA at contact@lycaon-data.com.

So that the request can be processed, please include the email address used at purchase, the transaction reference and the reason for the request.

A reply is provided within 5 business days. Approved refunds are issued to the original payment method, in the currency of the original transaction, within 14 days of acceptance. Differences arising from exchange rates or from fees charged by the Customer’s bank are not compensated. The time taken for the refund to appear on the account depends on that bank.

Section 21: Statutory rights

The platform and the analysis reports are sold to business customers only. Neither subscriptions nor report orders are open to consumers, and these rules are set out on that basis.

They do not remove any mandatory right granted to the Customer by the law applicable to their situation, in particular statutory guarantees. Where the applicable law or the reseller’s own terms grant the Customer a higher level of protection than set out here, that higher level applies.
